Supplier Code of Conduct
Purpose
This Supplier Code of Conduct outlines the ethical, legal, and business conduct standards we expect from our suppliers, subcontractors, and business partners. Alignment with these standards is essential to our partnership.
Legal and Regulatory Compliance
Suppliers must:
- Comply with all applicable laws and regulations
- Maintain necessary licences, permits, and registrations
- Operate with integrity and ethical business practices
- Prohibit bribery, corruption, and facilitation payments
- Comply with anti-money laundering and sanctions requirements
Labour Standards and Human Rights
Suppliers must:
- Prohibit forced, bonded, or compulsory labour
- Prohibit child labour
- Respect workers' rights to freedom of association
- Provide fair wages and benefits
- Maintain reasonable working hours
- Provide safe and healthy working conditions
- Treat workers with dignity and respect
- Prohibit discrimination and harassment
Data Protection and Privacy
Suppliers handling personal data must:
- Comply with UK GDPR and applicable data protection laws
- Implement appropriate technical and organisational security measures
- Process data only as instructed by Bugni Labs
- Report data breaches promptly
- Execute Data Processing Agreements where required
Information Security
Suppliers must:
- Maintain robust information security controls
- Protect confidential information and intellectual property
- Implement access controls and authentication
- Encrypt sensitive data in transit and at rest
- Conduct security awareness training
- Report security incidents promptly
Environmental Responsibility
Suppliers should:
- Comply with environmental laws and regulations
- Work to reduce environmental impact
- Implement sustainable practices where feasible
- Properly manage waste and emissions
Business Integrity
Suppliers must:
- Maintain accurate books and records
- Avoid conflicts of interest
- Protect intellectual property rights
- Compete fairly and ethically
- Prohibit insider trading
Quality and Performance
Suppliers are expected to:
- Deliver high-quality products and services
- Meet agreed specifications and standards
- Implement quality management systems
- Continuously improve performance
- Respond promptly to quality issues
Subcontracting
Suppliers may only subcontract with our prior approval. Subcontractors must comply with this Code. Suppliers remain responsible for subcontractor performance and compliance.
Monitoring and Audits
Bugni Labs reserves the right to assess supplier compliance through questionnaires, documentation reviews, and on-site audits. Suppliers must cooperate with compliance assessments.
Reporting Concerns
Suppliers should promptly report suspected violations of this Code or unethical conduct to: compliance@bugni.io. Reports can be made confidentially.
Non-Compliance
Failure to comply with this Code may result in corrective action requirements, suspension, or termination of the supplier relationship. Material breaches may result in immediate termination.
Continuous Improvement
We encourage suppliers to exceed these minimum standards and continuously improve their ethical, social, and environmental performance.
